Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the websites, applications, and services offered by Sendo (“Sendo,” “we,” “us,” or “our”) at https://sendo.express and related properties (the “Services”). By creating an account, placing an order, or otherwise using the Services, you agree to these Terms.

This document is a template. Have it reviewed by qualified counsel for your business, markets, and liability profile before publication.

1. The Services

Sendo provides an online marketplace that connects customers who wish to purchase goods with independent merchants and, where applicable, independent couriers who fulfill deliveries. Sendo is not the seller of items offered by merchants unless expressly stated. Sendo may facilitate payments, communications, promotions, and support tools.

2. Eligibility

You must be legally able to enter a binding contract in your jurisdiction and meet any minimum age we specify. If you use the Services on behalf of a business, you represent that you have authority to bind that business.

3. Accounts

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or pose risk to the platform.

4. Orders, pricing, and fulfillment

• Product listings, prices, fees, taxes, and availability are set by merchants unless otherwise shown in the app. Display errors may be corrected.
• When you place an order, you offer to buy subject to merchant acceptance. Estimated delivery times are estimates only.
• Special instructions (allergies, access codes, etc.) are your responsibility; merchants and couriers may be unable to honor every request.

5. Payments and fees

Payments may be processed by Sendo and/or third-party payment providers. You authorize us and our partners to charge your selected payment method for orders, service fees, tips you choose to add, and applicable taxes. Refund rules depend on merchant policies, applicable law, and the nature of the issue; contact support for disputes.

6. Promotions and credits

Coupons, campaigns, and credits may have additional rules, expiry dates, and eligibility limits. We may modify or discontinue promotions.

7. User content and license

You may submit reviews, photos, or other content (“User Content”). You retain ownership but grant Sendo a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, and display User Content to operate, promote, and improve the Services. You represent you have the rights to grant this license and that your content does not violate law or third-party rights.

8. Acceptable use

You agree not to:

• Use the Services unlawfully, fraudulently, or to harm others;
• Harass, threaten, or discriminate against merchants, couriers, customers, or Sendo staff;
• Attempt to scrape, reverse engineer, or circumvent security or access controls;
• Resell or misuse access to the Services without authorization;
• Upload malware or interfere with infrastructure or other users’ devices.

9. Third-party services

The Services may link to or rely on third parties (maps, payments, identity, analytics). Their terms and privacy policies apply to your use of their offerings.

10. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

11. Limitation of liability

To the fullest extent permitted by law, Sendo and its affiliates, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising out of the Services is limited to the greater of (a) the amount you paid to Sendo for the Services giving rise to the claim in the six (6) months before the claim or (b) one hundred dollars (USD $100), except where limitation is prohibited by law.

12. Indemnity

You will defend and indemnify Sendo against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, misuse of the Services, or violation of these Terms or law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, legal requirements, or discontinuation of the Services. Provisions that by nature should survive will survive termination.

14. Disputes and governing law

These Terms are governed by the laws applicable in the jurisdiction where Sendo operates, without regard to conflict-of-law rules, without regard to conflict-of-law rules. Courts or arbitration in the venue your counsel specifies for your operating entity may apply; update this section accordingly.

15. Changes

We may modify these Terms. We will post updates and, where required, provide notice. Continued use after the effective date constitutes acceptance of the revised Terms.
